今天我给大家讲一个我亲生经历的案例,希望大家积极讨论,并从中得到一些东西.
(1)我公司今年4月决定对外进口1040MT ABS-750化工原料,价格USD1458600.00.因为4月份国际石油行情上涨,化工原料也比较俏.和卖方联系过程中,对方要求我方立即开证.因我们是国内非常大的一国企,在支付款项上没有任何问题,对方提出不用签合同,只要我们开出L/C即可.当时我还是坚持要一个合同,对方就FAX 过来一个他们已签子盖章的合同,合同非常简单,主要条款如下:
1:GOODS&QUANTITY: ABS-750&TOTAL QUANTITY:1020MT(+/-5%)
2:UNIT PRICE:USD1430/MT CIF SHANGHAI.CHINA
TOTAL AMOUNT:USD1,458,600.00(+/-5%)
3:PACKING: MAKER’S STANDARD PARKING STUFFED IN 20’/40’CONTAINERS
4:ORIGIN:IRAN
5:PAYMENT:BY AN IRREVOCABLE L/C 90DAYS FROM B/L DATE IN FAVOR OF SELLER
Buyer shall open the L/C on or before Apr 07,2005
The contract shall be effective just in case that be returned to the seller by fax with Buyer’s Counter sign until ARP 07,2005
6:INSURANCE:to be covered by seller
7:SHIPMENT:510MT within APR.2005
510MT within MAY.2005
8:shipping marks:maker’s standard marking
9:port of loading:any iran port
10:port of discharge: shanghaichina
11:term of shipment:date of bill of lading shall be accepted as a conclusive date of shipment,partial shipment allowed.transshipment allowed.
.........其它就是不可抗力,仲裁地(在中国)等等,因为和后来的分析联系不大,我就不一一列出了.拿到对方传来的合同后,我立即安排了开证.因为感觉对方对合同不在意,只要L/C即可.当我们在合同上签字盖章后,我没有回传给对方,对方也没有提出异议.
L/C 的主要条款如下:
